The information contained herein is disclosed to the Recipient solely for the purpose of reviewing this project for possible investment or other related business transaction. It is understood that such information is confidential in nature and its disclosure is subject to the points listed below. It is further agreed the party reviewing said materials would be issued a temporary username and password. It is also agreed that the username and password will not be released to any third party without the consent of QuietRoar Media LLC.

1. All Confidential Information shall be and remain exclusive property of the Company.
2. The Recipient will hold all Confidential Information in confidence and will not use such information except in connection with the examination and evaluation of the Project or as may be authorized by the Company and will prevent its unauthorized dissemination.
3. Recipient shall restrict the custody, possession, knowledge, development, compilation, preparation and use of the Confidential Information to itself and (if applicable) any partner, affiliate, employee, agent, and entities controlled by it.  Recipient shall cause its Personnel to comply with this Agreement.
4. Recipient shall not publish, disseminate, copy, or disclose to any person any Confidential Information without written approval of the Company. Recipient will not use any of the Confidential Information for its own benefit, independently of a business relationship with the Company or otherwise act to circumvent, delay, usurp or hinder the business plans of the Company.
5. The Recipient will use the utmost of care to avoid disclosure of the Confidential Information using standards at least as stringent as those it employs with respect to its own confidential and proprietary information.
6. Recipient understands and confirms that these obligations will remain in force for a period of one year from the date of this agreement.
